Terms of Service

Last updated: 4 November 2026 · Cluster Systems

These Terms of Service (“Terms”) govern access to and use of the Kaizen platform and related services provided by Cluster Systems (“Cluster”): Kaizen point-of-sale and kitchen display software, the Cluster Portal, our cloud services, payment features, and the third-party integrations a client enables. Kaizen is offered to businesses. By using it on behalf of a business (the “client”), you confirm that you are authorized to bind that business.

If these Terms conflict with a written agreement signed between Cluster and the client (an order form, client agreement, or statement of work), that agreement prevails.

1. The services

Cluster provides restaurant technology under the Kaizen brand. The features available depend on the client’s subscription, devices, and region, and some require an internet connection.

2. Accounts and access

Users must keep their credentials confidential and use the additional sign-in protections Kaizen offers, such as two-factor authentication. The client is responsible for activity under its accounts and for giving each staff member appropriate roles and permissions.

3. Client responsibilities

  • Provide accurate business, tax, and menu information;
  • Comply with the laws that apply to its business, including food safety, employment, consumer protection, and privacy laws;
  • Obtain any consent required for personal information it enters in Kaizen or sends to connected marketplaces;
  • Use compatible hardware, networks, and supported software versions;
  • Review its menus and integration settings before going live on a marketplace.

4. Marketplace integrations

When the client connects a store to a marketplace (such as DoorDash, Uber Eats, or UEAT), it authorizes Cluster to exchange orders, menus, and store information with that marketplace on its behalf. The marketplace’s own terms and fees apply in addition to these Terms. Cluster is not responsible for a marketplace’s outages, policy changes, or decisions about orders.

5. Fees and payment

Fees and payment terms are set out in the client’s order form or client agreement. Unless stated otherwise, fees exclude applicable taxes.

6. Intellectual property

Cluster and its licensors keep all rights in Kaizen, the Portal, their documentation, and the Cluster and Kaizen brands. The client keeps its rights in its menus, logos, and business content, and grants Cluster a limited licence to host, process, and transmit that content only to provide the services.

7. Confidentiality and personal information

Each party protects the other’s confidential information with reasonable care. Personal information is handled as described in our Privacy Policy.

8. Availability and support

We work to keep the services available but do not guarantee uninterrupted operation. Planned maintenance and events outside our control, such as internet or marketplace outages, can affect availability. Support channels and hours are set out in the client’s agreement.

9. Warranties

Except as expressly stated in the client’s written agreement, the services are provided “as is” and “as available,” and Cluster gives no other warranty, express or implied, to the extent the law allows.

10. Limitation of liability

To the extent the law allows, Cluster’s total liability arising from the services in any twelve-month period is limited to the fees the client paid for the services in that period, and Cluster is not liable for indirect, consequential, or punitive damages, or for loss of profits, revenue, or data. These limits do not apply to injury caused intentionally or through gross fault, or to bodily or moral injury, for which the law does not allow liability to be excluded or limited.

11. Term and termination

These Terms apply while the client uses the services and end as provided in its agreement. When they end, access may be disabled, and the client’s data is returned or deleted as its agreement and the law provide.

12. Governing law and courts

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada that apply there. The courts of the judicial district of Montreal have exclusive jurisdiction over any dispute arising from them.
